FILMMAKER ACCOUNT AGREEMENT

This website, www.CoProScreen.com (“The Site“), was established and is owned by CoPro – Documentary and Animation Marketing Foundation R.A. (hereinafter also “CoPro.Screen”), PO BOX 11447 Tel Aviv 6111302, e-mail: screen@copro.co.il

The following provisions shall apply to all registered Filmmakers.

Please read the following provisions carefully as they apply to any content upload, participation, inclusion and use of your films on the site database and/or every use you may make of the content uploaded to this site.

By Uploading Content, you are agreeing to the terms and conditions, warranties of this Agreement which constitute a binding legal agreement for any issue, discussion or dealing you may have with COPRO.SCREEN in relation to your status as a Registered Filmmaker.

If you disagree with any of the following conditions, please do not upload content to this site. If you do, you are consenting to the terms and provisions hereunder.

1. FILMMAKER ACCOUNT

In order to register as a Filmmaker, you must be an Israeli citizen.

Registration as a Filmmaker is free.

Uploading your content requires the payment of Film Upload fees.

Registration is for a renewable Term of ONE YEAR.

Registration as a Filmmaker will grant you:

• Access to upload your Content to COPRO.SCREEN database.
• Filmmaker Page.
• Formal listing on COPRO.SCREEN guides.
• Free periodical emailed newsletter.
• General Advice on Co Productions.
• Access to COPRO.SCREEN’s future Directory of Israeli Professional Filmmaking Experts, such as Producers, Creators, Crew, Legal Advice and other Production servicers.

1. BECOMING A REGISTERED COPRO.SCREEN FILMMAKER

In creating your Filmmaker Account, you will be required to:

• Apply for the Account, by filling the Application Form.
• Provide the following information: Name and Surname, ID, Name of Institution (if you are registering an account on behalf of a separate legal entity such as a company, and educational institution, network, broadcaster etc.), your title/position, your phone number, full address, email, address, city, zip code, phone number, email, payment details and any other necessary information for the procurement of a tax invoice or a receipt and other necessary information.
• Provide correct and accurate personal details. Make note that providing false information is a criminal offense in Israel and in most countries.
• Choose the relevant Package and confirm payment.
• As the account and registration, payment of Membership Fees are made and executed online, there may disruptions or errors in the submission and execution process. If you receive an error notice or encounter any other problem within the registration and/or purchasing process, please call or email COPRO.SCREEN to resolve the matter.

1. CONFIRMATION OF YOUR REGISTRATION

• Acknowledgment of receipt of your Application form will be sent, via a automated return e-mail from COPRO.SCREEN to the e-mail address you have provided in the form.
• Your registration will be confirmed in writing, via an e-mail from COPRO.SCREEN to the e-mail address you provided in the form. COPRO.SCREEN may take actions to verify the truthfulness of the information you have supplied before confirming the registration of your Account.
• The confirmation e-mail will be sent within 2 (two) business days upon the receipt of the application. COPRO.SCREEN shall have the discretion to reject the applicant, for any reason.
• Upon receipt of your form as well as the required approval of the payment of the fee from the Credit Company, you will be considered as Registered Filmmaker and your films will be published on CoPro.Screen site upon approval.
• COPRO.SCREEN may ask you to supply further documents or information as its sees fit and pend your request, or otherwise reject your Application.
• COPRO.SCREEN shall have complete discretion to refuse to Register an applicant for any reason.
• Upon confirmation of your registration, you will receive an e-mail with your user name and password.
• COPRO.SCREEN will not be liable for delays of confirmation for reasons beyond its control, including force majeure, strikes, and technical problems, slowdowns in the mail system, third parties payments platforms, and so forth.
• The information you will provide shall be treated in accordance with our “Data Policy” of the site.

1. PAYMENT OF FILM UPLOAD FEES

• Payments of the Membership Fees, shall be subject to the rules and regulations of PayPal or any other third party involved in the payment process (such as credit card companies etc.) as well as Israeli Consumer and Tax Legislation.
• COPRO.SCREEN will not be liable for delays of confirmation for reasons beyond its control, including force majeure, strikes, and technical problems, slowdowns in the mail system, third parties payments platforms, and so forth.

Upon the confirmation of the Film Upload Fees, you will be allowed to upload your Film and your Content.

1. UPLOAD CANCELLATION POLICY

• Cancellation policy set forth below applies only to Registered and paying Filmmakers.
• If you wish to cancel your membership please contact COPRO.SCREEN in writing, via e-mail, stating the reasons for your request. COPRO.SCREEN will either refuse to authorize a refund or allow it, in which case you will receive a response and detailed instructions of refund. Filmmaker will be liable for any tax or transfer of payments that may be required in connection to a refund. COPRO.SCREEN will be entitled to pay the aforementioned taxes on her and your behalf, and deduct them from your refund.
• The refund will be approved against proper documentation which would confirm the identification of the buyer as the person who is requesting the refund and against the original invoice.
• Your payment Terms shall be solely governed by the laws of the State of Israel. In the case of a dispute concerning this site or any claim concerning a service rendered in the site or any other use of the site or the content, the courts in Tel Aviv shall have the exclusive jurisdiction over any such dispute or claim.

1. UPLOADING YOUR CONTENT

• You will be able to upload to the site the following content (“Content”):
  1. Films: Films shall be uploaded in a digital format (HD720p), with embedded English subtitles;
  2. The Number of Films you will be allowed to upload are set by the condition of the Package you have chosen when you registered your Membership account.
  3. You will be allowed to add credit points that will allow you to upload additional content at any time.
• Together with the Films, you will be able to upload, to your page the following:
  1. Synopsis of the Films in English.
  2. 1(one) still photos from of the film
  3. List of credits and details of the copyright owners.
  4. Link to trailer – YouTube or Vimeo (no password required)
  5. Technical information.
  6. Film screening history and awards.
  7. Your personal bio.
  8. Any other data requested by COPRO.SCREEN that will be required.

1. TERMS OF UPLOAD

• By Uploading your Content, you are granting COPRO.SCREEN with a non-exclusive license to make the Content available to Holders of A BUYERS’ ACCOUNT.
• “Buyers” are professionals of the Film and/or Television and/or Telecommunication and/or Digital Media industry and/or you are a Producer / Developer / Content Scout / Financier / Buyer of Programs that represent an entity / institution (such as a production company, educational institution, film foundations, festivals, network, broadcaster etc.) that invests in the development / production / co-production, distribution of content and/or that acquires and/or sells and/or licenses content.
• Content shall be made available according to the following principals:
  1. Basic Data shall be available to the all visitors and users of the website.
  2. The Screeners shall be available for viewing to REGISTERED BUYERS the site only.
  3. Films shall be kept in database for the Term of your Membership.
• By uploading your Content you are granting COPRO.SCREEN the right to publish and ‘make available’ the Content and info via the COPRO.SCREEN website, in accordance with the terms of this agreement. The Terms of Use of the using any technology by any forms of internet, mobile or other wireless technology and/or transmission and/or streaming, existing or developed in the future and via any COPRO.SCREEN platform and channels;
• By Uploading your Content you are granting COPRO.SCREEN the right to make use of the Data and/or the Films, in whole or in part in publications, events etc. In order to promote CoPro and the COPRO.SCREEN website, in any platform including but not limited to internet, mobile, social networks, on the COPRO.SCREEN website and other websites, CoPro and COPRO.SCREEN Publications all in accordance with the site Policies.
•  The rights are granted without any geo-limitations and/or territory worldwide.

1. UPLOADER’S WARRANTIES

By uploading your Content, you represent, warrant and undertake the following:

• You own/and or control all necessary intellectual property rights in and to the Content (Films and their components, including the soundtrack and musical score, bio, data and materials, as are necessary under the Terms of Use of Site, Terms of Use of Content of this site.
• You that it you obtained all necessary clearances from and third parties, (other creators, participants etc.) all as are necessary to grant COPRO.SCREEN the rights granted in this agreement.
• Any expenses, costs or liability towards any third party regarding the Films have been paid or otherwise shall be borne by you.
• That the grant and use of the the Content and by Members of COPRO.SCREEN do not violate any rights of any third parties.
• You undertake to indemnify and hold COPRO.SCREEN harmless from any and all losses, costs and damages that it may suffer following any actions or claims whatsoever by any third parties in relation to the use, making available and licensing of the Content.

1. IP RIGHTS

• You retain copyright over the Content.
• All content uploaded to this site is user-generated. As such, the content expresses only the views of their creator/uploader.
• COPRO.SCREEN strictly prohibits uploading Content, which is defamatory, abusive, hateful, threatening, spam or spam-like, likely to offend, contains adult or objectionable content, contains private, personal or confidential information of others, content which infringes copyright, encourages unlawful activity, or otherwise violates any laws.
• All Content you submit or upload may be reviewed by COPRO.SCREEN staff members at any time or otherwise be sent to third-party verification services (including, but not limited to, spam prevention services or legal counsels).
• COPRO.SCREEN reserves the rights to reject, remove, takedown any Content submitted for any reason at COPRO.SCREEN’s discretion without explanation nor prior approval.
• COPRO.SCREEN shall not be liable for unintentional errors in the site such as text errors, erroneous descriptions, omissions or misspelling of credits.

1. COPRO.SCREEN INTELLECTUAL PROPERTY

All rights to the site, its design, applications, graphics, images, texts, fonts, trademarks (registered or unregistered) designed items, photographs, models, feedbacks and all other materials contained in the website are protected under intellectual property laws and copyright laws, and they exclusively belong to COPRO.SCREEN.

• You may not copy, reproduce, publish, make changes to, publicly display or otherwise use the photos and illustrations of the items, and you may not create any derivative of any content or other displayed materials, and you may not make any other use in and of the elements in the website, unless COPRO.SCREEN provided explicit, written consent to any such action.

1. REMOVAL/TAKEDOWN

• COPRO.SCREEN reserves the right to discontinue and remove content from the site, and refuse to upload content at any time and with 7 days prior email notice containing the reasons for removal.

1. MISCELLANEOUS

• COPRO.SCREEN reserves the right to change the terms of this document at any time with 7 days prior email notice. Changes and adjustments shall apply immediately upon posting.
• It is prohibited to interfere with the site and its contents, to upload any content which user did not obtain copyright or proprietary right or permission to upload it. It is also prohibited to upload codes, “Trojan horses,” viruses, “worms” and all other malicious software. You are also prohibited from planting inappropriate content, threatening language or any language prohibited by law, including defamatory language or language which infringes invasion of privacy
• The site may be linked to other websites. COPRO.SCREEN is not responsible for the content of these sites, the services that they offer or the quality of the items offered by them. These links do not imply any business connection or relationship between COPRO.SCREEN and the operators of the linked sites and the use of these sites is your responsibility alone.
• This agreement is solely governed by the laws of the State of Israel. In the case of a dispute concerning this site or any claim concerning a service rendered in the site, the courts in Tel Aviv shall have the exclusive jurisdiction over any such dispute or claim.

BUYER AGREEMENT

This website, www.CoProScreen.com (“The Site“), was established and is owned by CoPro – Documentary and Animation Marketing Foundation R.A. (hereinafter also “COPRO.SCREEN”), PO BOX 11447 Tel Aviv 6111302, e-mail: screen@copro.co.il

The following provisions shall apply to all registered Buyers.

Please read the following provisions carefully as they apply to every use you may make of the Content uploaded to this site.

By applying for a Buyer Account, you are agreeing to terms and conditions of this Buyer Agreement which constitute a binding legal agreement for any issue, discussion or dealing you may have with COPRO.SCREEN.

If you disagree with any of the following conditions, please do not apply, nor register as a Buyer of this site. If you do register as Buyer, you are consenting to the terms warranties and provisions and hereunder.

1. BUYER ACCOUNT

Registration as a Buyer is free for an unlimited Term.

Registration as a Buyer will grant you:

• Unlimited access to COPRO.SCREEN database.
• Unlimited viewing of all content.
• Access to bios, contacts and other info of all Filmmakers.
• Formal listing on COPRO.SCREEN guides.
• Buyer Page.
• Free periodical emailed newsletter.
• Buyer who register to take part in the CoPro Market will be able to make use of the site to set appointments to meet participants at the market. General Advice on Co Productions with Israel.
• Access to COPRO.SCREEN’s Directory of Israeli Professional Filmmaking Experts, such as Producers, Creators, Crew, Legal Advice and other local Production servicers.

1. ARE YOU A BUYER?

In order to register as a Buyer and open a “Buyer Account” you must qualify as a professional of the Film and/or Television and/or Telecommunication and/or Digital Media industry and/or you are a Producer / Developer / Content Scout / Financier / Buyer of Programs and you represent an entity / institution (such as a production company, educational institution, film foundations, festivals, network, broadcaster etc.) that invests in the development / production / co-production, distribution of content and/or that acquires and/or sells and/or licenses content.

In creating your account and registering as a Buyer, you will be required:

• To Apply for the Account, by filling the Application Form.
• To provide formal verifiable proof of your professional position.
• To provide the following information: Name and Surname, ID, Name of Institution (if you are registering an account on behalf of a separate legal entity such as a company, and educational institution, network, broadcaster etc.), your title/position, your phone number, full address, email, and other necessary information.
• Please provide correct and accurate personal details. Make note that providing false information is a criminal offense in Israel and in most countries.

1. CONFIRMATION PROCESS

• Acknowledgment of receipt of your Application form will be sent, via a automated return e-mail from COPRO.SCREEN to the e-mail address you have provided in the form.
• COPRO.SCREEN will consider your request and within 2 (two) business days from the forms’s receipt you will receive Notice of Confirmation e-mail. Alternatively COPRO.SCREEN may ask you to supply further documents or information as its sees fit and pend your request, or otherwise reject your Application.
• COPRO.SCREEN shall have complete discretion to refuse to Register an applicant for any reason.
• With confirmation of your registration, you will receive an e-mail with a user name and password.
• COPRO.SCREEN may take actions to verify the truthfulness of the information you have supplied before confirming the registration of your Buyer Account.
• In your application form, you will be required to undertake to notify COPRO.SCREEN of any change in your professional position no later than 7 days from its occurrence. COPRO.SCREEN may take actions to verify your qualification as a holder of a Buyer Account at any time.
• COPRO.SCREEN will not be liable for delays of confirmation for reasons beyond its control, including force majeure, strikes, and technical problems, slowdowns in the mail system, third parties payments platforms, and so forth.
• The information you will provide shall be treated in accordance with our “Data Policy” of the site.
• As the registration is made and executed online, there may be disruptions and/or errors in the uploading, submission and execution process. If you receive an error notice or encounter any other problem within the application and/registration process, please call or e-mail COPRO.SCREEN for assistance.

1. CANCELLATION

• Cancellation policy set forth below applies only to Registered Buyers.
• If you wish to cancel your registration, please contact COPRO.SCREEN in writing, via e-mail a cancellation notice.
• Buyers should notify COPRO.SCREEN in case of a change of/in their qualification for a “Buyer” account. COPRO.SCREEN is entitled at anytime to cancel the registration and block access to those who do not qualify or otherwise cease to qualify as “Buyer”, according to the Terms stated in clause 2 here above.
• COPRO.SCREEN is entitled to cancel the registration and block access to those who violate the Terms of Use of the site, and/or the Terms and Conditions this Agreement, without derogating from any other action at its disposal against infringers.

1. TERMS OF USE OF THE LICENSED CONTENT

By becoming a registered buyer, you will gain access to Copyright Protected VIEW ONLY Content.  As a buyer you are permitted to view the Content for ‘professional assessment viewing’ only which is aimed to assist you to scout for and evaluate the content. You are not be allowed to exhibit the content in public or in any public venues like classrooms, cinema halls etc, nor retransmit the content by any method without obtaining a prior written permission from Filmmakers.

1. PRIVACY

• All data you supply shall be treated in accordance with our data policy.
• COPRO.SCREEN will take reasonable steps to ensure a secure online environment and to protect the information that you provide.
• You may remove your name from COPRO.SCREEN’s mailing list at any time.

1. MISCELLANEOUS

• COPRO.SCREEN reserves the right to change the terms of this document at any time with 7 days prior email notice. Changes and adjustments shall apply to Buyer requests received from the date of publication.
• This agreement is solely governed by the laws of the State of Israel. In the case of a dispute concerning this site or any claim concerning a service rendered in the site, the courts in Tel Aviv shall have the exclusive jurisdiction over any such dispute or claim.
